Methodology
- 15 commercial terms are extracted from the contract text with an AI model and validated by deterministic rules (conflicting values, explicit amendment precedence, missing provisions).
- Six transparent commercial risk rules (payment period, retention, performance security, LD cap, fixed price / no escalation, liability cap) rate exposure from the bidding contractor's perspective.
- Missing or conflicting key terms are flagged High and listed under Required Before Bid / Contract Approval.
- BidIQ does not quantify amounts or give an approve / reject decision.
Validation
- Extraction benchmark V1: 30/30 checks on 2 synthetic development contracts, including the demo.
- Extraction benchmark V2: 59/60 checks on 4 synthetic contracts. This set was also used during tuning, so it is not an independent hold-out.
- Benchmarks check status, value, source page, conflict and precedence per term. Deterministic validation and risk rules are covered by offline unit tests; risk ratings are not benchmarked.
- Benchmark results are single AI runs and may vary.
Architecture
Local PDF text extraction with page numbers → text segmentation → local semantic search (BGE embeddings) with a lexical safety net → structured AI extraction (JSON, schema-validated) → deterministic conflict, precedence and missing-term validation → rule-based risk register → executive summary and PDF report.
Scope & Limitations
- One machine-readable (text-based) PDF at a time. Scanned or image-only PDFs are not supported (no OCR).
- AI extraction can miss, misread or vary between runs; results require validation by an authorised person.
- Decision support only. Not legal advice and not a substitute for authorised commercial or legal review.
- Data handling: PDF parsing and semantic retrieval are performed locally. Selected retrieved contract text may be sent to the configured external AI service for structured extraction and Ask BidIQ responses. For short contracts, the retrieved text can cover most of the document. Upload only documents you are authorised to process through the configured AI service.
